BRITISH ASSOCIATION OF PUBLIC-SAFETY COMMUNICATIONS OFFICERS

(BAPCO LTD)

ANNUAL GENERAL MEETING

25th APRIL 2007

RESOLUTION No 1 TO AMEND CONSTITUTION

Intent: To amend the BAPCO Constitution relating to the voting rights of Life Members of the Association.

Purpose: In recognition of the awarding of Life Member status to grant the holder, irrespective of their primary category of membership, the right to vote at Annual General Meetings of the Association and its Regions

Makers: The Executive Committee.

To: The Fourteenth Annual General Meeting of the Association to be held on 25th April 2007.

Whereas: Section 4.1 of Article Three of the Constitution of the Association states;

The right to vote at an Annual General Meeting of the Association or at an Annual General Meeting of a Region, shall be a privilege of the Active Membership only.

and,

Whereas: Section 4.3 of Article Three of the Constitution of the Association states:

Subject to the provisions of Section 4.1 of this Article, it shall be the prerogative of each Region to determine the voting rights on matters relating to that Region only, for each category of membership. However, only members in the Active Member classification may vote on matters that affect a number of Regions or the Association as a whole.

and,

Whereas: The accolade of ‘Life Member’ can be awarded under the provisions of Section 5 of Article 1 of the Bye-Laws of the Association as follows:

5.1 This highest level of membership shall be awarded only to those persons currently holding another class of membership in the Association. The Life Member title shall be added to that of any other category of membership. This title and the member's regular other membership category title, with all its benefits and privileges, shall be enjoyed and held, exempt from subscription, for the life, or until the resignation, of such member

5.2 This honour may only be bestowed upon members who have been a Member of the Association for not less than a continuous period of seven years and made outstanding and significant contributions toward the fulfilment of the Purpose of the Association.

and,

Whereas: Under the provisions as presently written a member from the Active Membership advanced to Life Membership would have different voting rights at Annual General Meetings of the Association or its Regions to a member from the Commercial Membership who is similarly advanced to Life Membership

Now therefore, be it

Resolved: Section 4.1 of Article Three of the Constitution be amended to read:

The right to vote at an Annual General Meeting of the Association or at an Annual General Meeting of a Region, shall be a privilege of the Active Membership and Life Members only.

And,

Section 4.3 of Article Three of the Constitution of the Association states:
